OTP banka d.d. has received from several legal entities and individuals requests and suggestions for an organised collection of powers of attorney for this year’s Shareholders’ Meeting of OTP banka d.d. With the intention of equally treating all interested individuals and in order to give all shareholders of the bank a possibility to participate in the Shareholders’ Meeting through a proxy, OTP banka d.d. hereby announces the following

OTP banka d.d. will offer to interested individuals a support in organised collection of powers of attorney (Article 308(a) of the Companies Act) for conducting the 19th regular Shareholders' Meeting of OTP banka d.d.
The criteria under which OTP banka d.d. will provide its organisational support are as follows:
- a proxy shall be an individual, a person of legal age whose legal capacity has not been limited or deprived, and who is not engaged in a gainful activity relating to a representation of shareholders in shareholders' meetings of companies
- a proxy shall not be employed by the bank or any of the OTP banka Group companies and shall also not be a member of a supervisory body of the bank
- a proxy can be a shareholder of the bank.
Interested individuals that meet the above stated criteria may apply to this call by sending a written request to the following address: OTP banka d.d., Secretarial Service – for organised collection of powers of attorney, 2505 Maribor, Slovenia.
The application shall be delivered to the bank no later than Monday, 17 May 2010. Applications for offering help received after that date will not be taken into consideration.
A candidate shall set out in the application all data needed for verifying whether he/she meets the above stated criteria. A candidate shall also enclose a statement confirming that his/her personal data may be used and processed for the needs of offering help by organised collection of powers of attorney and thus submitted to the public.
If more than six applications by interested individuals will be received, the bank will choose by lot the names of proxies to whom it will provide organisational support in organised collection of powers of attorney. Opening of applications and a possible lot will be attended by a notary public.
By sending the application, the interested individuals oblige themselves to communicate to the bank all the data required for carrying out the organised collection of powers of attorney.
