OBVESTILA
OTP banka d.d. informs all Existing Shareholders that it published today the prospectus for the public offering of shares, which was approved by the Securities Market Agency (ATVP) on 31 March 2011.
 

In accordance with the second item of Article 337 of the Companies Act (ZGD-1), we wish to inform those shareholders, who are Existing Shareholders of the Bank as of 4 April 2011, that the total value of the Offer Shares is up to €136,930,384.50, while the Offer Price for one share is set in the range between €8.00 and €10.50. The final value of the Offering will be determined at a later stage, probably on 14 April 2011. The period in which the Existing Shareholders (on 4 April 2011) may exercise their pre-emptive right to subscribe for new shares in proportion to their stake in the share capital of the Bank lasts 14 days, i.e. from 4 April 2011 until inclusive 18 April 2011.

Other than the offer of the securities referred to herein to persons in Slovenia and Poland, the securities referred to herein will only be offered to and directed at persons in member states of the European Economic Area who are "qualified investors" within the meaning of Article "2(1)(e) of the Prospectus Directive (Directive 2003/71/EC) (and amendments thereto, including the 2010 PD Amending Directive, to the extent implemented in the Relevant Member State).
