On 27 October 2017, the Circuit Court in Maribor registered the resolution of the Shareholders' Meeting of KBS BANKA d.d. on the squeeze-out of the minority shareholders and transfer of shares from minority shareholders of KBS BANKA d.d. to the main shareholder, Biser Bidco S.á r.l., Luxembourg ("Main Shareholder") pursuant to Article 387 of the Slovenian Companies Act (Zakon o gospodarskih družbah ("ZGD-1")).
On 27 October 2016, KDD - Centralna klirinško depotna družba, d.d. ("KDD") executed the transfer of all shares with designation KRBR from the securities accounts of the minority shareholders to the securities account of the Main Shareholder pursuant to second paragraph of Article 23 of the Slovenian Book Entry Securities Act (Zakon o trgu nematerializiranih vrednostnih papirjev ("ZNVP-1")).
The minority shareholders are entitled to the monetary compensation in the amount of EUR 0.55 per individual KRBR share pursuant to the resolution on the squeeze-out of the minority shareholders. In accordance with the agreement concluded between the Main Shareholder and KDD, KDD already partially executed the payments of the monetary compensation to the minority shareholders that provided the necessary data for payment of the monetary compensation in the requested deadline.
All further activities relating to the payments of the monetary compensation to the minority shareholders shall be performed by Nova Kreditna Banka Maribor d.d., Ulica Vita Kraigherja 4, 2000 Maribor in the name and on behalf of the Main Shareholder. The minority shareholders, who did not yet receive the monetary compensation, may submit their claim for monetary compensation, including necessary payment information, electronically on email address izupancic@nkbm.si or by post to the address Nova Kreditna banka Maribor d.d., Ulica Vita Kraigherja 4, 2000 Maribor. The minority shareholders shall receive further information concerning the procedure of payment of the monetary compensation on the basis of the submitted claim.
