SUPERVISORY BOARD

John Denhof

President of the Management Board

John Denhof has served as the President of the OTP banka Management Board since August 23, 2024, where he is responsible for internal governance.

Prior to that, he was the President of Nova KBM from Management Board from March 1, 2017 to August 22, 2023, where he was responsible for the implementation of the five-pillar strategy to transform Nova KBM into Slovenia's best bank. Mr. Denhof is an experienced senior executive with over 30 years of professional experience, having held various leadership positions at Citibank in emerging and developed markets, including Singapore, UK, USA, Turkey, Czech Republic, Spain, and most recently Slovenia.

Spyridon Ntallas

President of the Managament Board

Spyridon Ntallas became President of the Management Board of OTP banka on January 1, 2025.

Before that, from August 22, 2024, he was a member of the management board of OTP banka, responsible for the area of financial operations and planning (CFO).

Spyridon dedicated first 9 years of his career as external auditor in Deloitte Greece and EY Serbia. He joined Vojvodjanka banka a.d Novi Sad in April 2007, holding the CFO position until June 2020. Spyridon moved to SKB banka in July 2020, having the role of the CFO. From 1st December 2023 to August 21, 2024, he held the position of Deputy CEO, CFO and Member of the Board of Directors in SKB banka.

Spyridon earned his Bachelor’s degree from University of Piraues (“Banking & Finance”) and holds a post graduate diploma in Accounting and Auditing from the Association of Certified Auditors-Accountants in Athens, Greece.

Anita Stojčevska

Vice-president and member of the Management Board, responsible for Corporate banking

Anita Stojčevska, Master of Economics and Business Sciences, has been a member of the OTP banka Management Board since August 23, 2024 and is responsible for corporate banking. At the same time, she also holds the position of vice president of the Management Board of OTP banka.

Since the beginning of her long career, she held several responsible positions in SKB banka, mainly in the commercial field. Since 2011, as a member of the management, she co-created the strategy of SKB banka, under the ownership of the Societe Generale Group. Working in an international environment gave her invaluable experience. From December 2019 to August 22, 2024, she led SKB banka as Chief Executive officer and member of the Board of Directors, which merged with Nova KBM on August 22, 2024 and became OTP banka on August 23.She actively participates in professional meetings and conferences, where she enriches the business environment with her knowledge and experience. She received the Artemida 2021 award, which is awarded by the Manager Association to leading female managers, as well as recognition for professional achievements of Beta Gamma Sigma International from the Faculty of Economics, University of Ljubljana. Since June 2023, she has been a member of the Supervisory Board of Pokojninska družba A, and since July 2024, a member of the Supervisory Board, a member of the Strategic Council, and the President of the Ethics Committee of the Bank Association Slovenia.

Gvido Jemenšek

Member of the Management Board, responsible for Retail business

Master of Economics and Business Sciences Gvido Jemenšek has been a member of the OTP banka Management board since August 23, 2024, where he is responsible for retail business.

Prior to that, he was a member of Nova KBM Management Board since May 2024 and was responsible for the retail business.

He has many years of experience in banking, which he gained primarily at Raiffeisen Bank, where he held various management positions, including as a member of the Management Board and most recently as President of the Management Board of Raiffeisen Bank. From 2017 until he took up the position of procurator at Nova KBM, he was an advisor to the Nova KBM Management Board in the area of retail banking.

Miha Kristl

Management Board member, responsible for Strategic risk governance

As a strategic risk governance and management expert has been a member of the OTP banka Management Board since August 23, 2024, where he is responsible for strategic risk governance.

Prior to that, he was the member of the Nova KBM Management Board responsible for strategic risk governance. With more than 20 years of professional experience in banking, Miha Kristl held the position of Executive Director of Banking Supervision at the Bank of Slovenia prior to joining Nova KBM. Earlier in his career, he held the position of Director of Integrated Risk and Capital Management at KBC Group (Belgium). He held numerous other positions, including Corporate Strategy Advisor cooperating in the development and design of a new business strategy for the post-state aid period. He was the head of risk management at K & H (Hungary) and Raiffeisen Bank (Slovenia). Miha Kristl is a Financial Risk Manager (FRM) certified by the Global Association of Risk Professionals (GARP) and earned his master’s degree from the Faculty of Economics of the University of Ljubljana.

Sabina Župec Kranjc

Management Board member responsible for Markets and Operations

Master of Economics and Business Sciences Sabina Župec Kranjc has been a member of the OTP banka Management Board since August 23, 2024, where she is responsible for Markets and Operations.

Ms Župec Kranjc has more than 26 years of professional experience in the banking industry.

She joined Nova KBM in July 2013 as the Executive Director of Financial Markets. She was a member of the Nova KBM Management Board since November 2014 responsible for various areas of the bank's operations. Ms Župec Kranjc has held the role of CFO since January 2017. In 2022, she also took over the position of Vice-president of the Management Board of Nova KBM, which she held until August 22, 2024.

Since 2015 she has been a member of the Supervisory Board of the Bank Association of Slovenia. In her career, she also held several other supervisory positions (Member of the Supervisory Board of Summit Leasing Slovenija, Chair of the Supervisory Board of Poštna banka, Chair of the Audit Committee and member of the Supervisory Board of Abanka). She previously held the position of Director of Treasury and Deputy Executive Director of Financial Markets in Abanka. She was also the Head of Treasury at Raiffeisen Bank.

Vojko Božiček

Management Board Member, responsible for Digital

As of January 14, 2025, Vojko Božiček is a member of the Management Board of OTP banka and Chief Digital Officer (CDO).

Vojko brings more than 25 years of experience in IT and banking and has a proven track record in driving IT strategy, execution and digital transformation.

Vojko started his career at HERMES SoftLab d.o.o., where he developed a solid foundation in software development and quality assurance. Over the years, he took on roles of increasing responsibility, including the positions of Director of IT and Head of Data Warehouse Department, which provided him with a comprehensive understanding of both technical and strategic aspects of IT.

Prior to his nomination as CDO of OTP Banka, Vojko served as Director of IT Execution at Nova KBM from July 2020 and successfully led the IT department through a significant period of technological advancement. Prior to that, he held senior positions at Abanka and Banka Celje, where he played a key role in overseeing IT initiatives and managing complex projects.
