Nova KBM d.d. has today, 18 April 2013, received a court resolution on registering the Bank’s share capital increase through in-kind contribution. Prior to the entry of this change into the companies register, the share capital of Nova KBM d.d. totalled €40,814,313.08 and was split into 39,122,968 ordinary freely transferable registered no-par value shares with voting rights. Following the entry of the share capital increase into the companies register, the share capital of Nova KBM d.d. now amounts to €140,814,313.08 and is split into 137,645,135 ordinary freely transferable registered no-par value shares with voting rights.
The share capital of Nova KBM d.d. was increased by in-kind contribution resulting from the conversion of a hybrid loan facility worth €100,000,000 into the Bank equity. This hybrid loan facility was provided to Nova KBM d.d. by the Government of the Republic of Slovenia, in accordance with the Hybrid Loan Facility Agreement dated 31 December 2012. All newly issued shares have been subscribed for by the Government of the Republic of Slovenia. The rights attached to the new shares are identical to the rights attached to the ordinary registered shares of Nova KBM d.d. already outstanding.
